TERMS OF PARTICIPATION
1. A contract is made and entered into by and between FORZA and the company/ institution/ organization (hereinafter will be referred to as the “PARTICIPANT” in this contract) participating in the exhibition with regard to the “Mersin 4th Food, Food Technologies & Packaging Fair”, the organization of which will be executed by Forza Fairs & Organization Service Co. Inc. (hereinafter will be referred to as “FORZA” in this contract) at Yenişehir Fairground in Mersin on April 1-4, 2010.
2. The space allocation of the PARTICIPANT placing check/ payable note/ mail order for the cash payment and balance amount, having signed the participation contract, is deemed to be effective. The PARTICIPANT, which has signed this contract, whatever the reason may be, cannot waive from participating in the exhibition (except cases of force majeure) and cannot terminate the contract unilaterally. Otherwise, the said PARTICIPANT will accept to pay the whole exhibition fee indicated herein without any need for notification.
3. The PARTICIPANT cannot transfer the space or a part of the space allocated to it to any third person. Otherwise, it accepts to pay to FORZA three folds of the total amount indicated in the contract.
4. FORZA has the right to reject the PARTICIPANT for the security of the whole exhibition even if the participation contract has been concluded. In such a case, all payments made by the PARTICIPANT are refunded.
5. The participation fee and payment: Indoor fee USD 130 per 1 m².
6. The PARTICIPANT cannot exceed the space limits allocated to it. In doing so, FORZA has the right to reject the PARTICIPANT for the sake of security of the exhibition. In such a case, FORZA will not refund the PARTICIPANT, but the PARTICIPANT will be liable to make all payments arising from this contract.
7. FORZA will provide the following services to the PARTICIPANT against the fee specified in this contract;
a) Erection of stand on the area indicated in the contract,
b) Illumination of stands with one spotlight per 3 m², carpet, provision of 1 table, 2 chairs and 1 dustbin for stands with area of minimum 16 m2 and faceplate writing,
c) Execution of “all risk” insurance for up to YTL 50 of the products to be exhibited on each 1 m² of the stand used by the participant to exhibit its products as required by the contract (application will be made for the insurance with the minute issued by the authorized security units in the case of theft, while with the minute to be issued by the company official in the case of damage, accompanied by the photos showing the damage),
d) General cleaning of the exhibition area (internal cleaning of stands is under the responsibility of the PARTICIPANT),
e) General security of the exhibition area (stand security during the visiting hours of the exhibition is under the responsibility of the PARTICIPANT),
f) Inclusion of company profile in the exhibition catalogue,
g) Introduction of the exhibition by means of media and outdoor advertisement means.
8. The PARTICIPANT is obliged to use the stand material without causing any damage. Otherwise, it is liable to compensate the damage over the amount stated by FORZA.
9. The PARTICIPANT is obliged to settle at the exhibition on the date notified by FORZA and evacuate the same by the date to be notified by FORZA at the completion of the exhibition. Stand settlement and arrangement activities as well as packing and transportation of the products exhibited are under the responsibility of the PARTICIPANT. FORZA, for the sake of security of the exhibition, may reject the PARTICIPANT in failure of timely settlement at the exhibition without any fee refund and also demanding fulfillment of any and all obligations related to payment. FORZA cannot be held responsible for any problem, which may be encountered by the PARTICIPANT during the transportation of products. The PARTICIPANT hereby accepts and undertakes to pay the whole participation fee under this contract in lump sum and in cash even if participation is not achieved by reason of the said problems.
10. The PARTICIPANT is obliged to keep at least one of its personnel available in its stand during the days and hours the exhibition is open.
11. The PARTICIPANT accepts and undertakes in advance that all the products it will exhibit in “Mersin 4th Food,Food Technologies & Packaging Fair”, will comply with the concept as stipulated by this article of the contract. In action to the contrary, FORZA may reject the PARTICIPANT with regard to participation in the exhibition for the sake of security of the exhibition without any refund and further reserving the right to claim all the rights it has against the participant under this contract.
12. FORZA has no commitment with regard to the commercial success of the exhibition.
13. FORZA has the right to execute change in the layout plan due to compulsory circumstances and for the sake of general order of the exhibition. The PARTICIPANT will exhibit its products at the location shown by FORZA.
14. In the case the organization is decided to be held at any other time and place by FORZA for the sake of general security of the exhibition except cases of force majeure, this contract will be valid and the PARTICIPANT will duly comply with the conditions of the contract.
15. FORZA may reject any PARTICIPANT, which spoils the general order and conduct of the exhibition, without any need for notification. In such a case, no fee refund is made by FORZA.
16. The PARTICIPANT pays 50% of the participation fee of the exhibition together with signing the contract, and the balance amount according the conditions stipulated in the contract. If the payment is to be effected in installments, all installments will immediately become due without any need for notification in failure of payment of one of the checks/notes for the installments on the respective maturity dates or in the case of non-existence of funds in the credit card account, for which the PARTICIPANT has given mail order instruction, to suffice for the installment amount payable. The checks/notes or credit card payment instruction stated in the payment schedule will be valid with the check/note roll and credit card provision certificate to be issued by FORZA. The payments, if not effected by checks or credit cards, are delivered personally against collection receipt or deposited to the following accounts of FORZA Fairs & Organization Service Co. Inc.; Akbank, Ankara Ticari (Branch), 834 (Branch Code), USD Account 0044645-0 , USD IBAN –TR 280004600834001000044645
17. The goods and services to be requested other than those included in the participation fee for the exhibition as set forth in Article 7 of this contract are subject to separate cost.
18. The PARTICIPANT accepts all conditions stipulated in this contract and undertakes to duly comply with the provisions of the contract. 19.All disputes arising from this contract will be under the jurisdiction of Ankara Courts and Execution Offices.
19. This contract consisting of 19 (twenty) articles has been executed in two copies and has been read and signed by the respective parties.
